NurseCharts Terms of Use and Notices
Effective Date: April 17, 2026
1. Acceptance of Terms
This User Agreement and Terms of Use (“Agreement”) is a contract between you (“You” or “User”)
and NurseCharts, LLC (“NurseCharts,” “Company,” “we,” “us,” or “our”) and applies to your access
to and use of NurseCharts products and services, including our website, web application, mobile
features, communications, and related tools and functionality.
By creating an account, accessing, or using the Services, you agree to be bound by this Agreement,
our Privacy Policy, and any other policies or notices posted by NurseCharts.
2. Description of Services
NurseCharts provides software tools designed to support documentation, recordkeeping, workflow
management, compliance support, and related administrative functions for homecare professionals
and organizations.
NurseCharts is a software platform only. Unless expressly stated in a separate written agreement,
NurseCharts does not provide legal advice, clinical judgment, coding advice, reimbursement guarantees,
or payer adjudication services.
2A. Beta Features and Early Access
NurseCharts may offer beta, pilot, preview, test, or early access features. These features may be
incomplete, modified, suspended, or discontinued at any time and may contain errors or reduced
functionality.
3. Third-Party Services
Your use of the Services may involve third-party platforms, hosting providers, payment processors,
email services, mobile operating systems, browsers, integrations, or other vendors. NurseCharts is
not responsible for the acts, omissions, products, or services of Third-Party Services.
4. Electronic Communications
You agree that NurseCharts may provide disclosures, notices, service announcements, billing
communications, support communications, and policy updates electronically, including through email,
in-app notifications, text-based alerts where enabled, or postings within the Services or on our website.
5. Eligibility and Authorized Use
You represent and warrant that you are legally able to enter into this Agreement and that you are
authorized to use the Services on behalf of yourself, your practice, agency, business, or other
organization, if applicable.
6. Your Responsibilities
You are solely responsible for the accuracy, completeness, timeliness, and legality of all data, forms,
records, and other information entered into or transmitted through the Services. You are also responsible
for compliance with all applicable federal, state, and local laws, rules, regulations, payer requirements,
documentation standards, licensure requirements, employment requirements, and professional obligations.
NurseCharts may provide templates, prompts, workflows, defaults, or summaries for convenience, but
you remain solely responsible for reviewing and approving the content you create or maintain using
the Services.
7. Subscriptions, Fees, and Payment Terms
NurseCharts offers subscription-based access to the Services. Fees, plan features, billing intervals,
and related charges will be presented at the time of purchase or otherwise made available by NurseCharts.
Unless otherwise stated in writing, subscriptions renew automatically for the same billing cycle until canceled.
You authorize NurseCharts and its payment processor to charge your selected payment method for
recurring subscription fees, applicable taxes, and any other authorized charges.
8. Account Registration and Security
You agree to provide true, accurate, current, and complete registration information and to keep such
information updated. You are responsible for maintaining the confidentiality of your username, password,
authentication methods, and account credentials.
9. HIPAA, Privacy, and Protected Information
If and to the extent applicable, the parties’ handling of protected health information shall be governed
by NurseCharts’ Business Associate Agreement and Privacy Policy. Where a Business Associate Agreement
is required, your use of the Services for regulated protected health information is conditioned upon an
applicable agreement being in effect.
You acknowledge that the Services are not intended for emergency response, emergency communications,
or time-sensitive clinical intervention.
10. Data Storage, Access, and Retention
NurseCharts may maintain and make available certain data submitted to or created within the Services
in accordance with its then-current product functionality, retention practices, security practices, and policies.
NurseCharts does not guarantee indefinite retention, perpetual availability, or retrieval of any specific record,
export, attachment, or account data unless expressly stated in a separate written agreement.
11. License and Permitted Use
Subject to your compliance with this Agreement and payment of all applicable fees, NurseCharts grants
you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use
the Services for your internal business use.
12. Intellectual Property
The Services, including all software, workflows, user interfaces, text, graphics, branding, logos, forms,
designs, compilations, and related content, are owned by NurseCharts or its licensors and are protected
by copyright, trademark, trade secret, and other applicable laws.
13. Restricted Activities
You agree not to use the Services in violation of law, upload false or unlawful content, reverse engineer
the Services, circumvent security controls, interfere with service operation, build a competing product,
or access the Services for unauthorized benchmarking, scraping, or data harvesting.
14. Clinical, Documentation, and Compliance Disclaimer
NurseCharts does not practice medicine, nursing, or other licensed professions and does not direct patient
care. The Services are intended to support documentation and workflow, not replace professional judgment.
15. Availability; Modifications to Services
NurseCharts may modify, enhance, suspend, or discontinue all or any portion of the Services at any time.
While NurseCharts seeks to provide reliable service, we do not guarantee uninterrupted or error-free operation.
16. Term and Termination
This Agreement remains in effect until terminated. NurseCharts may suspend or terminate access if payment
is overdue, if this Agreement is violated, if use creates security, legal, or operational risk, or if NurseCharts
discontinues the Services or your access to them.
17. Disclaimer of Warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW,
NURSECHARTS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NURSECHARTS AND ITS OWNERS, OFFICERS, EMPLOYEES,
AFFILIATES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR INDIRECT,
INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
19. Indemnification
You agree to defend, indemnify, and hold harmless NurseCharts and its owners, officers, employees,
affiliates, licensors, contractors, and service providers from claims arising out of your use of the Services,
your data or documentation, your violation of this Agreement or applicable law, or your negligence,
misconduct, fraud, or failure to meet professional obligations.
20. Third-Party Links and Content
The Services may contain links to third-party websites, materials, integrations, or resources. NurseCharts
does not control and is not responsible for third-party content, services, policies, or practices.
21. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio.
Any dispute arising out of or relating to this Agreement or the Services shall be brought exclusively in the
state or federal courts located in Ohio.
22. Changes to this Agreement
NurseCharts may revise this Agreement from time to time. The updated version will be posted through
the Services or on the NurseCharts website with a revised effective date.
23. General Terms
This Agreement constitutes the entire agreement between you and NurseCharts regarding the Services.
If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
